Please read these Terms and Conditions carefully before using the SSLCOMMERZ Consumer Application. By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the SSLCOMMERZ Consumer App, you confirm that:

You have read, understood, and agree to be bound by these Terms.
You are of legal age and capacity to enter into a binding agreement under applicable law.
You are eligible to use payment and financial services in accordance with the applicable laws and regulations of Bangladesh.
You will comply with all applicable laws, regulations, and guidelines in connection with your use of the App.

2. Description of Services

SSLCOMMERZ Consumer is a digital payment management application developed and operated by Software Shop Limited (SSLCOMMERZ) that enables users to:

Card Management

View and manage payment cards (credit, debit, or prepaid cards), including Visa, Mastercard, Amex, Diners Club International, and other supported card networks.
Add cards via camera scan (OCR-based) or manual entry.
Verify cards using OTP.
Set a default payment card.
Remove saved cards.

Transaction Management

View card-wise and complete transaction history.
Filter transactions by card, date range, and transaction type.
View transaction details including Transaction ID, merchant/payee name, card reference, amount, date, and time.
Share transaction details where supported.

Toll Payment

Register vehicles.
Select payment cards for toll services.
Deregister vehicles.
Complete OTP verification.
Access toll payment services across supported bridges and highways.

3. User Registration and Account

Notify us immediately of unauthorized account access.
Accept responsibility for all activities conducted through your account.

The Company reserves the right to suspend or terminate your account if any information is inaccurate, incomplete, or violates these Terms.

Access to specific features may depend on eligibility, account status, and third-party service availability.

5. Card Management

By adding a payment card, you confirm that:

You are the authorized cardholder or have authority to use the card.
The card information provided is accurate.
You consent to secure tokenized processing of card information.
A small verification amount may be charged where applicable.

The Company does not store full card numbers.

Available features include:

OCR card scan
Manual card entry
OTP verification
View saved cards
Set default card
Remove saved card
Card-wise transaction history

Supported card networks include:

Visa
Mastercard
American Express (Amex)
Diners Club International
Other approved payment networks

6. Transactions

When initiating a payment:

You authorize the Company to process the transaction.
You are responsible for verifying transaction details before confirmation.
Completed transactions may not be reversible unless permitted by applicable law or policy.

The Company shall not be liable for failed, delayed, or erroneous transactions caused by incorrect user information, technical issues, financial institution restrictions, or card issuer limitations.

7. Toll Payment Services

You agree to:

Register accurate vehicle information.
Maintain updated registration details.
Upload required vehicle images where applicable.
Complete OTP verification.
Ensure sufficient balance or card availability.
Comply with all applicable toll authority requirements.

The Company acts solely as a payment facilitator.

8. OTP Verification

OTP verification may be required for:

Login
Card addition
Card verification
Vehicle registration
Vehicle deregistration

You agree to:

Keep OTP confidential.
Never share OTP with any third party.
Use OTP within its validity period.
Request a new OTP when necessary.

The Company shall not be liable for losses resulting from disclosure of OTPs.

9. Complaints and Dispute Resolution

The App includes a Complaints module.

Users agree to:

Provide accurate complaint information.
Allow reasonable investigation time.
Accept Company transaction logs as primary evidence.

10. User Obligations and Prohibited Conduct

You must not:

Use the App for unlawful purposes.
Commit fraud.
Access unauthorized systems.
Upload malicious software.
Misrepresent your identity.
Use another person’s card without authorization.
Engage in money laundering or financial crime.
Circumvent security controls.
Reverse engineer the App.

The Company reserves the right to suspend accounts and report suspected illegal activities.

11. Intellectual Property

All intellectual property rights relating to the App, including software, trademarks, logos, content, documentation, and design, belong to Software Shop Limited (SSLCOMMERZ) or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App.

12. Privacy and Data Protection

Your use of the App is governed by the Privacy Policy.

Information collected may include:

Mobile number
Account information
Tokenized card information
Transaction data
Vehicle information
Device information
Session information

The Company collects information only to:

Provide services
Prevent fraud
Meet regulatory obligations
Improve user experience

The Company does not sell personal information.

13. Security

Users are responsible for maintaining the security of their device, account credentials, and OTPs.

14. Third-Party Services

The App may integrate with:

These services are governed by their own terms and conditions.

15. Fund Flow and Financial Transactions

15.1 Card Verification

A temporary verification amount may be charged during card registration.

15.2 Merchant Payments

Payments are settled to merchants according to the applicable settlement cycle.

15.3 Toll Payments

Toll payments are settled to the relevant authority following successful authorization.

15.4 Refunds and Reversals

Refunds may be processed for:

Failed transactions
Duplicate transactions
Approved refund requests

Refund timelines depend upon the issuing financial institution.

16. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for:

Indirect losses
Incidental damages
Loss of profits
Loss of data
Unauthorized third-party access
Service interruptions
Payment network failures
Financial institution restrictions

The Company’s total liability shall not exceed the fees paid by the user during the preceding three (3) months.

17. Disclaimer of Warranties

The App is provided on an “As Is” and “As Available” basis without any express or implied warranties.

The Company does not guarantee uninterrupted or error-free operation.

18. Indemnification

You agree to indemnify and hold harmless Software Shop Limited (SSLCOMMERZ), its directors, officers, employees, agents, and partners from claims arising from:

Your use of the App.
Violation of these Terms.
Violation of applicable laws.
Unauthorized or fraudulent activities conducted through your account.

19. Suspension and Termination

The Company may suspend or terminate access if:

These Terms are violated.
Required by law or regulation.
Fraudulent activity is suspected.
The App or any feature is discontinued.

Users may request account closure subject to applicable legal and regulatory requirements.

20. Changes to Terms

The Company may update these Terms at any time.

Updated Terms will be published within the App or on the official website.

Continued use of the App constitutes acceptance of the revised Terms.

21. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Bangladesh.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Bangladesh.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy and other policies published by the Company, constitute the entire agreement between you and Software Shop Limited (SSLCOMMERZ).
